Terms of Service

Please read these Terms carefully before using Entiqo. By accessing or using the Entiqo platform — including any web application, client portal, or filing service — you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Definitions

  • "We", "us", "our" — ScalarState Technologies W.L.L., a company incorporated in the Kingdom of Bahrain (CR 195284-1).
  • "Platform" — the Entiqo web application, client portal, and associated services accessible via scalarstate.com or any subdomain or linked URL.
  • "Services" — compliance tracking, entity record management, deadline notifications, and document filing assistance provided through the Platform.
  • "You", "Client" — any individual, sole trader, or legal entity that accesses or uses the Platform.
  • "Filing Services" — the submission of documents, renewal applications, or filings to the Ministry of Industry and Commerce (MOIC), SIJILAT, or other Bahrain government registries on your behalf.
  • "Client Data" — information, documents, and records you provide to us for the purpose of using the Services.

2. The Service

Entiqo is a compliance and entity management platform that helps individuals and businesses operating in the Kingdom of Bahrain to:

  • Track Commercial Registration (CR) renewal deadlines and license expiry dates
  • Organise and store entity records, shareholder information, and corporate documents
  • Receive alerts and notifications regarding upcoming compliance obligations
  • Submit filings and renewal applications to Bahrain government registries on your behalf, where instructed

Entiqo is a technology platform. We are not a law firm, a licensed commercial agent, or a regulatory consultant. Nothing on the Platform constitutes legal, financial, or professional regulatory advice. You remain solely responsible for your compliance obligations under applicable Bahrain law.

3. Eligibility

You may use Entiqo if you are at least 18 years of age and have the legal capacity to enter into binding contracts under the laws of Bahrain or your jurisdiction of residence. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

The Platform is designed for use by persons and entities with business interests or operations in the Kingdom of Bahrain. We make no representation that the Platform is appropriate or available for use outside of Bahrain.

4. Account and Access

Access to the Platform is provided via an authenticated client portal. You are responsible for maintaining the confidentiality of your access credentials and for all activity that occurs under your account. Notify us immediately at hello@entiqo.com if you suspect unauthorised access.

You agree not to share your access credentials with third parties. Each account is issued to a specific authorised user or organisation. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or misused.

5. Client Authorisation for Filing Services

Where you instruct us to submit filings, renewal applications, or documents to MOIC, SIJILAT, or other government registries on your behalf, you grant us a limited, specific authorisation to act as your agent for that filing only.

By instructing a Filing Service, you confirm that:

  • All information and documents you have provided for that filing are accurate, complete, and lawfully obtained
  • You hold all rights or authorisations necessary to submit that information to the relevant registry
  • You understand that we will submit the filing in reliance on the information you provide, without independent verification of its accuracy
  • You accept that the final outcome of a filing rests with the relevant government authority, not with us

You acknowledge that Bahrain government systems — including SIJILAT — may experience downtime, processing delays, or require additional documentation at the authority's discretion. We are not liable for any delay, rejection, or penalty arising from government system unavailability or authority decisions.

6. Client Obligations

You agree to:

  • Provide accurate, complete, and up-to-date information when using the Platform
  • Notify us promptly if your entity details, authorised signatories, or filing requirements change
  • Review all notifications and deadline alerts from the Platform in a timely manner
  • Not use the Platform for any unlawful purpose or in violation of any applicable Bahrain law or regulation
  • Not attempt to gain unauthorised access to any part of the Platform or its underlying systems
  • Not upload or transmit any material that is fraudulent, misleading, or that infringes a third party's rights

You remain solely and ultimately responsible for meeting your regulatory and compliance obligations. Entiqo notifications and tracking tools are designed as aids — they do not create, extend, or modify any legal deadline imposed by a government authority.

7. Fees and Payment

The Platform is currently provided free of charge during an early access period. We reserve the right to introduce paid subscription tiers or service fees at any time. If we do so, we will provide you with not less than 30 days' written notice before any charge takes effect, and you will have the opportunity to discontinue use of the Platform before being charged.

Any future fees will be stated clearly in the relevant service description and will be subject to applicable taxes under Bahrain law, including VAT where applicable.

8. Intellectual Property

All software, content, design elements, trademarks, and materials on the Platform are owned by or licensed to ScalarState Technologies W.L.L. and are protected under applicable intellectual property laws. Nothing in these Terms grants you any right in our intellectual property beyond the limited licence to use the Platform for its intended purpose.

You retain all ownership of Client Data you upload or input to the Platform. By uploading Client Data, you grant us a limited licence to store, process, and use that data solely to provide the Services to you.

9. Privacy and Data Protection

The collection, use, and protection of your personal data is governed by our Privacy Policy, which forms part of these Terms. We process personal data in accordance with Bahrain's Personal Data Protection Law (Law No. 30 of 2018).

For the avoidance of doubt, Client Data that relates to your entity (CR details, director records, filing documents) is processed on the basis of contract performance. Personal data of individuals is processed on the bases described in the Privacy Policy.

10. Third-Party Systems

The Platform integrates with or submits data to third-party systems, including Bahrain government registries (MOIC, SIJILAT), payment processors (if applicable), and infrastructure providers. We are not responsible for the availability, accuracy, or decisions of any third-party system or government authority.

Links or references to third-party services do not constitute our endorsement of those services. Your use of any third-party service is subject to that party's own terms and conditions.

11. Service Availability

We aim to maintain Platform availability but do not guarantee uninterrupted or error-free service. We may suspend or restrict access to the Platform for scheduled maintenance, security reasons, or circumstances beyond our reasonable control.

We will endeavour to provide advance notice of planned maintenance where reasonably practicable.

12. Disclaimers

The Platform and all Services are provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by applicable law.

In particular, we do not warrant that:

  • Deadline alerts or notifications will be delivered without delay or error in all circumstances
  • Information on the Platform regarding government fee schedules, deadline dates, or filing requirements is current at any given time — you should verify directly with the relevant authority
  • Use of Filing Services will result in successful registration or approval by the relevant authority
  • The Platform will be available or fit for purpose in jurisdictions other than Bahrain

13. Limitation of Liability

To the maximum extent permitted by the laws of the Kingdom of Bahrain:

  • ScalarState Technologies W.L.L. shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform
  • Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total fees paid by you to us in the three months preceding the claim (or BHD 50 if no fees have been paid)
  • We are not liable for any regulatory penalty, fine, business loss, or loss of licence arising from a missed deadline — whether or not a notification was sent by the Platform
  • We are not liable for losses arising from your provision of inaccurate or incomplete Client Data for Filing Services

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded by law.

14. Indemnification

You agree to indemnify and hold harmless ScalarState Technologies W.L.L., its directors, employees, and agents from and against any claims, damages, penalties, or expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms
  • Your provision of inaccurate, incomplete, or fraudulent Client Data
  • Your violation of any applicable law or regulation
  • Any third-party claim arising from your use of the Platform

15. Termination

You may stop using the Platform at any time. To close your account and request deletion of your Client Data, contact us at hello@entiqo.com.

We may suspend or terminate your access to the Platform at any time if we reasonably believe you have breached these Terms, if required by law, or if we decide to discontinue the Platform. Where practicable, we will give you advance notice and a reasonable period to export your Client Data before termination takes effect.

On termination, clauses relating to intellectual property, limitation of liability, indemnification, and governing law survive.

16. Modifications to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after that date constitutes acceptance of the revised Terms.

The effective date at the top of this page reflects the most recent revision. We recommend reviewing these Terms periodically.

17. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Kingdom of Bahrain, including the Civil Code (Legislative Decree No. 19 of 2001) and the E-Commerce Law (Law No. 19 of 2021).

Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Kingdom of Bahrain. You agree that Bahrain courts are the appropriate venue for any dispute and waive any objection to jurisdiction or venue on the grounds of inconvenient forum.

Before initiating formal proceedings, we both agree to attempt to resolve any dispute in good faith through direct discussion for a period of 30 days from written notice of the dispute.

18. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ScalarState Technologies W.L.L. in relation to your use of Entiqo and supersede any prior representations or understandings.
